The specific scope, deliverables, and fees for any engagement are set out in a separate proposal or service agreement between us. If anything in that agreement conflicts with these Terms, the signed agreement controls.
Our Services
What we provide
Prime Dental SEO provides marketing services for dental practices, which may include search engine optimization, AI-search optimization, content, website design, Google Business Profile optimization, reputation and review management, social media management, and paid advertising management. The exact services you receive are those described in your proposal or service agreement.
No guarantee of results. Search rankings, traffic, leads, and patient volume depend on many factors outside our control, including search-engine algorithms, competition, your market, and your practice's own operations. We bring real strategy and effort and report honestly on results, but we do not and cannot guarantee specific rankings, positions, traffic numbers, or a specific number of new patients.
Working Together
Your responsibilities
- Provide accurate information about your practice and the services you offer
- Give us timely access to the accounts, assets, and approvals we need to do the work
- Review and respond to deliverables and requests within a reasonable time
- Ensure the claims and content you ask us to publish are truthful and comply with dental advertising and professional rules that apply to you
- Keep your own login credentials and account security in good order
Delays or inaccurate information on the practice's side can affect timelines and results.
Fees & Billing
Fees, billing, and ad budget
Recurring services are billed monthly in advance unless your agreement says otherwise. Website builds and one-time projects are billed as set out in your proposal, often with a deposit and milestone payments.
Month to month. Our recurring plans are month-to-month unless you agree to a specific term in writing. You can cancel as described in our Refund & Cancellation Policy.
Advertising budget. Any advertising budget (for example, Google Ads or Meta) is paid by you directly to the advertising platform. We do not mark up your ad spend, and ad budget is separate from our fees.
Fees are exclusive of any applicable taxes. Late or failed payments may pause work until resolved.
Ownership
Intellectual property
Once a deliverable is paid for in full, you own the final website content, copy, and creative assets we produce specifically for you, along with your own accounts, domain, and data. You keep ownership of anything you provide to us.
We retain ownership of our own pre-existing methods, tools, templates, internal processes, and know-how, and of any general skills or techniques we develop. Nothing here transfers rights in third-party software or platforms, which remain governed by their own licenses.
Confidentiality & Third Parties
Confidentiality and third-party platforms
Each of us agrees to protect the other's non-public business information and to use it only to carry out the engagement. This does not apply to information that is public, already known, or required to be disclosed by law.
Our services rely on third-party platforms — such as search engines, advertising platforms, hosting, and form and CRM tools. Your use of those platforms is subject to their terms and policies, and we are not responsible for their availability, changes, or actions.
Legal
Disclaimers and limitation of liability
Our website and services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the site will be uninterrupted or error-free.
To the fullest extent permitted by law, Prime Dental SEO and JAMN Media Group LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim arising out of or relating to these Terms or our services will not exceed the amount you paid us for the services in the three months before the claim arose.
You agree to indemnify and hold us harmless from claims arising out of content or information you provide, your use of the services, or your violation of these Terms or of any law or third-party right.
Governing Law
Governing law and changes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Texas, and each party consents to that jurisdiction, unless your signed agreement provides otherwise.
We may update these Terms from time to time. When we do, we'll change the "Last updated" date above. Continuing to use the site or our services after a change means you accept the updated Terms.
